Terms of Service

1. Services

Dean Smith provides custom software development, web development, CRM development, AI automation, AI agent development, and related digital services. The specific scope, deliverables, timeline, and payment terms for each project are defined in individual project agreements signed prior to work commencing.

2. Project Agreements

All projects are governed by a separate written project agreement. This agreement outlines the scope of work, deliverables, timeline, payment schedule, and any specific terms. No work commences without a signed agreement.

3. Payment Terms

Payment terms are outlined in each project agreement. Projects are typically structured with milestone-based payments. Invoices are due within the period specified in the project agreement. Late payments may result in work suspension.

4. Intellectual Property

Upon full payment, the client receives full ownership of the custom code and deliverables produced specifically for their project. Third-party libraries, frameworks, and tools remain subject to their respective open-source licenses.

5. Client Responsibilities

The client is responsible for providing accurate requirements, timely feedback, access to required systems, and payment according to the agreed schedule. Delays caused by the client may result in timeline adjustments.

6. Limitation of Liability

Dean Smith's liability is limited to the value of work delivered. We are not liable for indirect, consequential, or incidental damages arising from the use of delivered systems. Clients are advised to maintain independent backups of critical data.

7. Confidentiality

All project-specific information shared by the client is treated as confidential and is not disclosed to third parties without prior written consent, except as required by law.

8. Governing Law

These terms are governed by the laws of the Republic of South Africa. Any disputes will be resolved through good faith negotiation, and if necessary, through the appropriate courts of South Africa.
